1. Agreement to these terms
By creating an account, accessing Cartly, accepting an invitation, or otherwise using the service, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Cartly.
You must be legally able to enter into this agreement. If you use Cartly on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes it.
2. The Cartly service
Cartly helps users organize shopping lists, collaborate on shared lists and live carts, record prices and shopping history, manage recipes, and store loyalty-card information on supported devices. Features may vary by platform, region, device, or app version.
We may improve, add, remove, or discontinue features. We will provide notice when required by law. Cartly is not a retailer, payment processor, delivery service, or guarantor of any store's inventory or price.
3. Accounts and security
- Provide accurate information and keep it reasonably current.
- Keep login credentials, recovery links, and invite links confidential.
- Use only accounts you are authorized to use.
- Tell us promptly if you suspect unauthorized access or misuse.
You are responsible for activity under your account to the extent permitted by law. We may require verification before restoring access, processing sensitive requests, or deleting an account.
4. Limited license
Subject to these terms and applicable app-store rules, Racotter grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Cartly on devices you own or control for personal or internal business purposes.
Cartly, including its software, design, branding, and documentation, is owned by Racotter or its licensors and is protected by intellectual property law. Except where law expressly allows it, you may not copy, sell, rent, sublicense, reverse engineer, bypass security, or create derivative works from Cartly.
5. Your content, invitations, and collaboration
You retain ownership of content you add to Cartly. You grant Racotter a worldwide, limited, non-exclusive license to host, process, transmit, reproduce, and display that content only as needed to operate, secure, improve, and support Cartly.
When you share a list, live cart, or invitation, you instruct us to make the related content available to the people who receive or accept it. Some features let another user create an independent copy. That copy is controlled by the receiving user and may remain after you edit or delete your original.
You represent that you have the rights needed to upload and share your content. Do not place confidential, highly sensitive, unlawful, or third-party-infringing material in lists, notes, images, recipe content, barcodes, or invitations.
6. Acceptable use
You may not use Cartly to:
- Break the law, violate another person's rights, or facilitate harm.
- Harass, impersonate, deceive, threaten, or exploit another person.
- Upload malware or attempt unauthorized access to accounts or systems.
- Probe, overload, scrape, or disrupt Cartly or its infrastructure.
- Send spam invitations or use invite links for unsolicited promotion.
- Remove ownership notices or misuse Cartly trademarks and branding.
- Use automated means to extract data except where we authorize it in writing.
7. Prices, barcodes, and shopping information
Prices, totals, product details, availability, recipes, barcode values, and other shopping information in Cartly may be entered by users and may be incomplete, outdated, or incorrect. Verify important information with the relevant retailer, product label, loyalty program, or other authoritative source before relying on it.
Cartly does not provide financial, nutritional, medical, food-safety, or professional advice. You are responsible for purchase decisions, dietary choices, product handling, and use of loyalty credentials.
8. Third-party services
Cartly relies on third-party services such as Supabase, device operating systems, speech-recognition services, authentication providers, and app stores. Their services and content are governed by their own terms and privacy notices. Racotter is not responsible for third-party services that it does not control.
You must comply with applicable third-party terms, including wireless-data, app-store, sign-in-provider, and loyalty-program rules. Carrier or data fees may apply.
9. Suspension, termination, and account deletion
You may stop using Cartly at any time. To request account deletion, follow the process in the account-deletion section of our Privacy Policy.
We may restrict, suspend, or terminate access when reasonably necessary to protect Cartly or its users, address illegal or abusive conduct, comply with law, or enforce these terms. Where appropriate and legally required, we will provide notice and an opportunity to appeal. Provisions that by their nature should survive termination will remain in effect.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARTLY IS PROVIDED “AS IS” AND “AS AVAILABLE.” RACOTTER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CARTLY WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR THAT USER CONTENT WILL NEVER BE LOST.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Nothing in these terms limits consumer rights that cannot lawfully be waived.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACOTTER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM CARTLY OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACOTTER'S TOTAL LIABILITY FOR CLAIMS RELATING TO CARTLY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID RACOTTER FOR CARTLY DURING THE 12 MONTHS BEFORE THE CLAIM OR US$50. These limits do not apply where liability cannot legally be limited.
12. Responsibility for misuse
To the extent permitted by law, you will defend and indemnify Racotter from third-party claims, damages, and reasonable costs arising from your unlawful use of Cartly, your content, or your material violation of these terms. This obligation does not apply to the extent a claim results from Racotter's own conduct.
13. Changes to these terms
We may update these terms as Cartly or applicable law changes. We will update the effective date and, for material changes, provide notice through the app, email, or another appropriate channel. Continuing to use Cartly after revised terms take effect means you accept them, except where law requires express consent.
14. Disputes and applicable law
Please contact us first so we can try to resolve a concern informally. These terms are governed by the laws applicable at Racotter's principal place of business, without regard to conflict-of-law rules, except that mandatory consumer protections and forums in your home jurisdiction continue to apply. If a court finds part of these terms unenforceable, the remaining provisions remain in effect.
15. Apple App Store and Google Play terms
Apple App Store
If you obtained Cartly through Apple's App Store, Apple's Standard End User License Agreement applies to the licensed app in addition to these service terms. This agreement is between you and Racotter, not Apple. Racotter—not Apple—is responsible for Cartly, its maintenance and support, and claims concerning the app, subject to applicable law. Apple has no warranty obligation beyond any refund required by its rules. Apple and its subsidiaries are third-party beneficiaries of the applicable licensed-app terms and may enforce them.
You represent that you are not located in a country or region subject to a United States government embargo and are not listed on a prohibited or restricted party list. You must comply with applicable third-party terms when using Cartly.
Google Play
If you obtained Cartly through Google Play, Google is not a party to these terms and is not responsible for Cartly. Your use is also subject to the Google Play terms and policies. Refunds, if any, are handled under applicable law and the rules of Google Play.
